These Terms and Conditions (“Terms”) govern your use of the HAPPY STRENGTH website (the “Site”) and any information, online content, or services provided through the Site. By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site.

1. About HAPPY STRENGTH

HAPPY STRENGTH provides fitness services, including cross‑training, group sessions, and/or individual coaching in the Bay Area, as well as information and resources related to fitness and wellbeing. Services may be offered in person, online, or in hybrid formats.

2. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in violation of any applicable laws or regulations (including California and U.S. law)

  • Attempt to gain unauthorized access to any part of the Site, other accounts, or systems

  • Interfere with or disrupt the operation of the Site

  • Upload or transmit any harmful code, spam, or offensive or unlawful content

We may suspend or terminate your access to the Site at any time if we believe you have violated these Terms or used the Site inappropriately.​

3. No Medical Advice

Content on the Site (including blog posts, videos, programs, or social media content) is for general informational and educational purposes only and does not constitute medical advice, diagnosis, or treatment.

  • Always consult with a physician or qualified healthcare provider before starting any new exercise program, especially if you have any pre‑existing medical conditions, injuries, or concerns.

  • Do not disregard professional medical advice or delay seeking it because of information you read on this Site or receive from HAPPY STRENGTH.

4. Health and Safety; Assumption of Risk

By choosing to participate in any fitness program, workout, cross‑training session, or activity offered by HAPPY STRENGTH (in person, online, or via recorded content), you understand and agree that:

  • Physical exercise involves inherent risks, including but not limited to muscle soreness, strains, sprains, falls, increased heart rate, cardiovascular events, and other serious injury or death.

  • It is your responsibility to exercise within your own limits, follow instructions, monitor how you feel, and stop or modify exercises if you experience pain, dizziness, or discomfort.

  • You are voluntarily participating in these activities at your own risk and are solely responsible for your decision to participate.

To the fullest extent permitted by law, you agree to assume all risks associated with your participation in HAPPY STRENGTH fitness activities.

5. Release of Liability

To the fullest extent permitted by California law, you agree on behalf of yourself and your heirs, executors, and assigns to release and discharge HAPPY STRENGTH and its owner(s), trainers, employees, contractors, and affiliates from any and all claims or causes of action (known or unknown) arising out of or related to:

  • Injury, illness, or death that may result from participating in any HAPPY STRENGTH program, class, or activity

  • Use of any equipment, facilities, or training environments (including gyms, outdoor spaces, or home setups for online training)

  • Any actions, omissions, or negligence on the part of HAPPY STRENGTH or its representatives, to the maximum extent permitted by law

Some jurisdictions do not allow limitations of liability for certain types of damages, so some of the above limitations may not apply to you. In that case, HAPPY STRENGTH’s liability shall be limited to the fullest extent permitted by law.

6. Client Responsibilities

You agree that:

  • You will disclose to HAPPY STRENGTH any relevant medical conditions, injuries, or limitations that may affect your ability to safely participate in training.

  • You will follow instructions and guidelines provided by the trainer and use any equipment safely and appropriately.

  • You will consult your healthcare provider before making any major changes to your physical activity.

7. Intellectual Property

All content on the Site, including text, graphics, logos, images, videos, and program materials, is owned by or licensed to HAPPY STRENGTH and is protected by copyright and other intellectual property laws.

You may:

  • View and use the Site for your personal, non‑commercial use only.

You may not, without our prior written permission:

  • Copy, reproduce, modify, distribute, display, perform, republish, or create derivative works from Site content

  • Use any content for commercial purposes or share paid materials with others​

8. Bookings, Payments, Cancellations (High‑Level)

If sessions or classes can be booked or paid for through the Site or linked platforms, then:

  • You agree to provide accurate, current information for all bookings and payments.

  • Specific details on pricing, packages, cancellations, rescheduling, and refunds will be provided at the time of booking or in your client agreement, and those terms will govern.

  • We reserve the right to change prices, offerings, and schedules at any time.

(He should also use a separate, signed client agreement/waiver for in‑person and online training.)

9. Disclaimers

The Site and all content and services are provided “as is” and “as available,” without warranties of any kind, express or implied.

To the fullest extent permitted by law, HAPPY STRENGTH disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant that the Site will be uninterrupted, secure, or error‑free, or that any defects will be corrected.

10. Limitation of Liability

To the fullest extent permitted by California law, HAPPY STRENGTH and its owner(s), trainers, employees, contractors, and affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Site or participation in any fitness services, even if advised of the possibility of such damages.

In any case, our total liability for any claim shall not exceed the amount you paid (if any) for the service related to that claim.​

11. Indemnification

You agree to indemnify and hold harmless HAPPY STRENGTH and its owner(s), trainers, employees, contractors, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your participation in fitness activities, or your violation of these Terms.

12. Third‑Party Links

The Site may contain links to third‑party websites or resources. We are not responsible for the content, products, or services on those sites. Accessing third‑party links is at your own risk.

13. Governing Law and Disputes (California)

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved:

  • First, through good‑faith negotiations between you and HAPPY STRENGTH

  • If not resolved, then through binding arbitration or in the state or federal courts located in the appropriate county in the San Francisco Bay Area, California, and you consent to the jurisdiction of those courts, subject to any mandatory arbitration or small‑claims rules that may apply​

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Your continued use of the Site after changes are posted means you accept the updated Terms.
